As seen above, the types of agreements that Uriel Corporation can enter into are many and can vary for the types of services that you may want to engage in. Uriel has many services and develops agreements that are tailored for those services. Uriel also enters into client Agreements from time to time as may be appropriate for mutual interests. Any business conducted with Uriel for services begins with a retainer fee that is applied towards the development of a comprehensive written agreement that will specify the terms of a relationship between the parties for services, as such may apply. Once an initial retainer is received and accepted by Uriel to begin an engagement, a comprehensive written agreement will be developed from the retainer fee that will specify the terms and conditions of a relationship with Uriel Corporation prior to Uriel's full engagement for services. Additional legal fees beyond the retainer may be required if contract negotiations require revision whereby the client would be billed additional hourly fees that may vary for the types of legal services required for the time legal staff is utilized to handle legal revisions beyond the original agreement/s that are produced.

As mentioned, Uriel can be retained for many services, which may include but not be limited to consulting, or other strategic assignments. Uriel strives to provide its clients with the "rights of first refusal", or other commercial rights, as such relate to Uriel's project(s) of interest and can engage in developing many key aspects of a client’s projects and related goals including adding product improvements, creating prototypes, or bringing a client new products or strategic alliances and opportunities for manufacturing or other key business opportunities.

Technology transfer engagements, commercialization activities, prototype development, project work, technology search fees or other service activities begin with a "GOOD FAITH" retainer designed to develop a legal framefork with which to develop an agreement between all parties. Work engagements for developing technology or products for client projects also begin with a "GOOD FAITH" retainer. Lump sum payments, royalties, stock ownership, intellectual property development, original product design, rapid prototyping, research, development, prototype fees, technology transfer, limited or exclusive rights transfer, and or further compensation strategies per project can be features of these agreements. All consulting services found on our Strategic Services link start with retainer fee(s) that may vary. Uriel develops agreements with clients and or with technology development sponsors and charges for legal fees to recover costs expended for developing and negotiating legal agreements, for revisions of such agreements, and for legal processing and negotiations. Payment for these and other required contractual matters must be received prior to engagement. Upon retainer, and payment of up-front fees and expenses, Uriel will engage on a best-efforts basis to more fully develop the objectives of each commercial engagement or the project(s) of interest. No commitment, license, agency, or agreement of any kind is expressed or implied prior to an execution of a formal written agreement. It is understood and agreed that the transfer, sale, availability, or license of patent rights or of other proprietary intellectual property rights relating to any venture of Uriel Corporation or of Client Projects will be the matter of further written agreements and may or may not be included as part of original negotiated investments or written agreements or transactions. It is further understood that Uriel reserves the right to withdraw or modify proposed services, project(s), products, or participation in the same, at any time, without notice, and without incurring liability and that written agreements will dictate relationships.
